TITLE SEARCH: Buyer shall be allowed until 6:00p.m. on the 9 day of November, 2024, (Requisition Date) to examine the title to the Property at Buyer’s own expense …….

COMPLETION DATE:  This Agreement shall be completed by no later than 6:00 p. m. on the 20 day of October, 2024. Upon completion, vacant possession of the property shall be given to the Buyer unless otherwise provided for this Agreement. 

Basement disclosure

The Buyer acknowledges that the basement rental is not a legal apartment and may not have received approvals from the Fire Marshall's Office or Ontario Hydro as required in the Fire Marshall's Act amended nor City or required Municipal Approvals.  The Buyer confirms being advised that these approvals are mandatory by law should the dwelling be utilized as a rental or anything other than a single family dwelling in any manner. Buyer agrees to assume all responsibility for effecting all repairs and cost to comply with Government Laws or removal compliance.

Heritage disclosure clause

The Buyer acknowledges that the subject property has been/may be designated as a Heritage property and is subject to the provision of the Ontario Heritage Act. The Buyer acknowledges that the Seller has made this disclosure.  The Buyer accepts the subject property with the designation and agrees to continue with this transaction.

Major deficiencies in Home inspection clause:

This offer is conditional upon the Buyer obtaining at the Buyer’s own expense an inspection of the subject property by a qualified home inspector within Three (3) banking days of acceptance of this offer. In the event such inspection reveals major deficiencies (e.g. Structural, basement leakage, roof leakage, etc.) in subject property which the buyer is unwilling to accept and which the Seller is unable to or unwilling to remedy then this Offer shall be null and void and the deposit shall be returned to the buyer in full without deduction. This condition is for the benefit of the Buyer and may be waived at the Buyer’s option by notice in writing to the Seller within the time period stated herein.

Major deficiencies disclose:

The Seller represents and warrants that to the best of the Seller's knowledge and belief there are no major deficiencies (such as foundation cracks, basement leakage, roof leakage) during the time the Seller has owned the property, if any, the seller agrees to disclose in writing in this agreement. 

Non Resident seller disclosure Clause:

The Seller represents and warrants that the seller is not a non resident for the purposes of the Income Tax Act (Canada).

No warrant clause:

Residential condominium

assignment and name adding

The Seller acknowledges and agrees that the Buyer reserves the right to assign this agreement to the Buyer's company or to include the name of a family member in the agreement. The Buyer shall provide written notice of such intention to the Seller no less than 14 days before the completion date.

Escape clause

Provided further that the seller may continue to offer the property for sale and, in the event, the seller receives another offer satisfactory to the seller, the seller may so notify the buyer in writing by delivery to the buyer personally or in accordance with any other provisions for the delivery of notice in this agreement of purchase and sale or any schedule thereto. The buyer shall have 24 hours from the giving of such notice to waive this condition by notice in writing delivered to the seller personally or in accordance with any other provisions for the delivery of notice in this agreement of purchase and sale or any schedule thereto failing which this offer shall be null and void, and the buyer’s deposit shall be returned in full without deduction.

Fire report

This offer is conditional upon the Seller providing the Purchaser a comprehensive fire report from the Aurora Fire Department about the property's fire incident within ten (10) days following the offer’s acceptance and subsequent endorsement of said report by the Buyer’s Solicitor. Unless the Buyer gives notice in writing delivered to the Seller /listing Broker within 3 business days of receipt of the report that this condition is fulfilled, this Offer shall be null and void and the deposit shall be returned to the Buyer in full without deduction. This condition is included for the benefit of Buyer and may be waived at the Buyer’s sole option by notice in writing to the Seller within the time period stated herein.

Wildfire Clause 

If, as a result of a wildfire and despite the Buyer’s best efforts, the Buyer is unable to obtain fire insurance on the Property that is binding and effective as of the original Completion Date, on terms and at rates that are commercially reasonable, then the Buyer may, at their sole discretion, extend each of the Completion Date, the Adjustment Date and the Possession Date to a date that is the first day, other than a Saturday, Sunday or statutory holiday in British Columbia (“Business Day”) that is [30] calendar days after the original respective dates by providing written notice (the “Extension Notice”) to the Seller or the Seller’s agent at least [5] Business Days before the original Completion Date. 

If during the period between the delivery of the Extension Notice and [5] Business Days before the extended Completion Date the Buyer obtains fire insurance on the Property that would allow the Buyer to complete the purchase and sale of the Property before the extended Completion Date, the Buyer will immediately provide written notice of same to the Seller or the Seller’s agent (the “Insurance Notice”) and the Seller may, by providing written notice to the Buyer or the Buyer’s agent within [2] Business Days after the Insurance Notice is provided, elect to accelerate the Completion Date to a date that is [5] Business Days after the Insurance Notice is provided, and the Adjustment Date and the Possession Date will be adjusted so that they will occur with the same relativity to the new extended Completion Date as they had to the original Completion Date.

The parties agree that time will remain of the essence.

Prior offer release

This offer is conditional upon the seller obtaining a release from the prior agreement of purchase and sale. Unless the seller gives notice in writing delivered to the buyer personally or in accordance with any other provisions for delivery of notice in this agreement of purchase and sale or any schedule thereto not later than 10pm on the 14th of October, 2022. that this condition is fulfilled, this offer shall be null and void and the deposit shall be returned to the buyer in full without deduction.

Status certificate:

Seller agrees to provide the Buyer a Status Certificate at Seller's expense within Ten [10] working
days from acceptance of this offer.

Warranty

The Seller warrants and represents that all electrical, plumbing, mechanical components and all
appliances/chattels included in the purchase price shall be in good working condition and free
from all liens and encumbrances on closing.

No garbage:

Seller agrees to vacate the property in a professionally cleaned condition and no garbage left behind in or around the property.

Remove chandelier:

The Seller agrees to replace it with a standard light fixture after removing the current chandelier in the dinning room before closing date.

Removing TV bracket from the wall:

The Seller agrees to fill in any holes that are created after removing the TV bracket from the wall before closing date.

own use Affidavit

The Buyer agrees to provide an affidavit signed with his/her lawyer stating the following:
We require vacant possession of the property for our own use, effective as of the completion date of this transaction.

Hold back clause: 扣留, 扣押
The Seller, at seller’s own expense, shall complete and/or repair the items specified in this amendment before purchaser’s final visit. The amendment forms a part of the agreement of purchase and sale dated on 14th day of April 2001. The Buyer will hold back the amount of Eight Hundred Dollars ($800.00)CAD until all the deficiencies specified in the amendment are completed, and will place this hold back in the Buyer’s lawyer’s trust account.Deficiencies are to be completed before 6 p.m. on 27th day of May, 2001.If the work is not completed,the total funds held back will be returned immediately to the Buyer.

Hold back for outstanding property tax

The Buyer and the Seller acknowledge that the subject property has not had a Final Realty Assessment and thus a supplementary Realty Tax Bill will be issued in the future.  The Buyer and Seller agree that the Seller’s solicitor shall hold back the amount of $5,000.00 for the payment of any outstanding property taxes for the period prior to completion of this transaction.  The Buyer or the Buyer’s solicitor shall forthwith, after notification by the municipality, notify the Seller’s solicitor of the amount of finally assessed property taxes.  The Seller’s solicitor shall immediately, after notification, pay the hold back or the amount thereof necessary to be paid in payment of the taxes accruing or owing prior to date of completion.  If there has been no notification to the Seller’s solicitor as aforesaid within 2 years after completion of this transaction, the Seller’s solicitor may release the holdback to the Seller.  The Seller’s solicitor shall supply a personal undertaking on completion to the Buyer to evidence the foregoing.

Seller home inspection report clause
The Buyer agrees to , at buyer’s own expense,provide the Seller a copy of the home inspection report if the buyer wants to negotiate a reduction, or cancel the deal because of problems in the inspection report.

Probate clause:
The Buyer and Seller agree that the Seller, upon giving a minimum of 10 days written notice to the Buyer (excluding, Saturday, Sunday or Statutory Holidays), may unilaterally extend the date set for completion, one or more times, not to exceed 60 days in total, for the purpose of obtaining a Certificate of Appointment of Estate Trustee, advance the completion date after the Seller obtains the Certificate of Appointment of Estate Trustee. Notwithstanding the completion date set out in this Agreement, the Buyer and Seller may, by mutual agreement in writing, advance or extend the date of completion of this transaction.

Deposit extension:

Buyer submits, upon acceptance, seven hundred Dollars (CDA$) 700.00 by bank draft payable to Royal Elite Jerry Wen Realty Inc., “Deposit Holder: to be held in trust pending completion or other termination of this Agreement and to be credited toward the Purchase Price on completion. For the purposes of this Agreement, “Upon Acceptance” shall mean that the Buyer is required to deliver the deposit to the Deposit Holder within 24 hours of the acceptance of this Agreement. The parties to this Agreement hereby acknowledge that, unless otherwise provided for in this Agreement, the Deposit Holder shall place the deposit in trust in the Deposit Holder’s non-interest bearing Real Estate Trust Account and no interest shall be earned, received or paid on the deposit.

APS asignment clause:

Seller agrees that the buyer shall have the right to assign this agreement to any direct family member or add an additional purchaser to this agreement by written notice to the seller with no less than 15 days prior to the completion date. 

Assume current tenant

The buyer acknowledges that the property (88 xiadu rd) is occupied by xioahua (Tennat) pursuant to a lease expiring on August 18, 2018. The Seller agrees to provide a copy of the current lease agreement to the buyer, represents and warrants that the copy of the said lease attached hereto as Appendix D is a true and complete copy of the said lease.  The seller agrees to return the rest of postdated cheques to the tenant, and ask the tenant to re-issue new postdated cheques to the buyer. The seller agrees to pay the key deposit and last month deposit received from the tenant to the buyer before closing date.

The Seller agrees to provide a copy of the current lease agreement for the main floor, along with all related documents, within three (3) business days following the acceptance of this offer.

The Seller agrees to provide the Buyer with the contact information of the tenant occupying the main floor. The Seller shall also inform said tenant to redirect rent payments to the Buyer effective from July 8, 2024.

The Seller shall transfer any deposits related to keys and the last month's rent, currently held by the Seller for the main floor tenant, to the Buyer on or before the closing date of this transaction.

 

Pre listing home inspection clause:

The Buyer acknowledges and accepts that any Inspection Report provided by the Seller or Listing Broker/Salesperson was ordered and obtained by the Listing Agent for the Agent’s own purposes. The Listing Broker and the Seller make no representation or warranties regarding the report and its contents. Any reliance on the report is at the Buyer’s risk.
The Buyer agrees to indemnify and hold harmless the Seller, the Listing Brokerage, and the Sale Representative for any errors, omissions and representations, expressed or implied, contained in the Home Inspection Report.

buyer’s lawyer’s approval clause:

This Offer is conditional upon the approval of the terms hereof by the Buyer’s Solicitor. Unless the Buyer gives notice in writing delivered to the Seller /listing Broker within 3 business days of acceptance of the Agreement that this condition is fulfilled, this Offer shall be null and void and the deposit shall be returned to the Buyer in full without deduction. This condition is included for the benefit of Buyer and may be waived at the Buyer’s sole option by notice in writing to the Seller within the time period stated herein.

Seller’s lawyer’s approval clause:
This Agreement is conditional upon the approval of the terms hereof by the Seller’s solicitor. Unless the Seller/Listing Broker gives notice in writing, delivered to the Buyer/Co-operating Broker within 2 business days of acceptance of the Agreement that this condition is fulfilled , this Agreement shall be null and void and the deposit shall be returned to the Buyer in full without interest or deduction. This condition is included for the sole benefit of the Seller.

No warranty clause:
The Buyer acknowledges that the Property is being sold in an As-Is Where-Is condition and agrees to accept the present condition of the Property, without the Seller making any warranties or representations of any kind.

Murder clause clause:
The Seller represents and warrants that during the time the Seller has owned the property, no any murder or suicide, or death had occurred on the property.

Further deposit clause clause:
The Buyer agrees to pay a further sum of Five thousand dollars($5,000.00), to Royal Elite Realty Inc., by bank draft or money order, not later than 6 p.m. on the 8th day of August, 2018, as a supplementary deposit to be held in trust pending completion or other termination of this Agreement. This amount is to be credited towards the purchase price on completion of this transaction.

No flooding clause clause:
The seller states that, to the best of the seller’s knowledge and belief, there is no known damage to the basement, roof, or elsewhere in or on the property caused by water seepage or flooding.

Deposit transfer clause:

The deposit from the agreement dated September 1, 2001 held by Royal Elite Realty Inc. shall be transferred to serve as the deposit for this agreement.

Kitec plumbing acknowledgement

The Buyer acknowledges that the existence of Kitec Plumbing in the subject property and the Buyer accepts the property and the building and structures thereon in their present state and in an “as is” condition.

UFFI acknowledgement

The Buyer acknowledges that the existence of Urea-formaldehyde foam insulation (UFFI) and asbestos in the subject property and the Buyer accepts the property and the building and structures thereon in their present state and in an “as is” condition

Landlord lease assignment:

In the event that the landlord decided to sell the premises, he shall reserve  the right to assign the lease to the new owner. The terms and conditions of the said lease shall remain the same.   

Key and FOB:

Landlord agrees to supply the Tenant with two set of keys, on or before closing day. Tenant agrees to return same upon termination.

Landlord visit:
Tenant agrees to allow the landlord to visit and inspect the property 4 times every year of the lease term at all reasonable hours after giving the Tenant 24 hours notice of such visit in writing.

 The landlord might come back once or twice a year to take his stuff and will contact the tenant in advance to arrange that.

No smoking:

Sublet:
Tenant hereby covenants and agrees that he will not permit another party to occupy all or part of the leased premises through an assignment or sublet without prior consent from the landlord.

Tenant credit report:

A, This Offer to Lease is conditional upon the Landlord within two (2) days from acceptance of this offer satisfying himself/herself concerning the personal and/or credit worthiness of the Tenant. The Tenant hereby consents to having the Landlord conduct or cause to be conducted a personal investigation in respect to the Tenant. Unless the Landlord/listing brokerage gives notice in writing delivered to the Tenant/co-operating brokerage within the allowable time frame that this condition is fulfilled, this Offer shall be null and void and the deposit shall be returned to the Tenant in full without deduction. This Offer to Lease is conditional upon the Landlord satisfying the Landlord concerning the personal and /or credit worthiness of the Tenant. The Tenant hereby consents to having the Landlord conduct or cause to be conducted a personal and/or credit investigation in respect to the Tenant. The landlord agrees that the Tenant has exclusive right to use garage and driveway.

Tenant insurance:
Tenant acknowledges that the Landlord’s fire insurance in the premises provide no coverage on the Tenant’s personal property. Tenant understands and agrees that he/she must obtain contents insurance on his/her personal belongings and third party liability insurance for the term of the lease and he/she must give a copy of the insurance policy to the Landlord upon delivery of the keys so that the Landlord can continue his insurance.

Termination notice:
Tenant agrees to notify the Landlord in writing together with the “Tenant’ Notice to Terminate the Tenancy [FormNlI], 60 days prior to the lease expiry for their intent to vacate or extent the said lease.

Key deposit return
The Tenant agrees to pay the Landlord a refundable deposit of $200.00 for keys and the FOB, the deposit will be refunded without interest to the Tenant upon termination.

Minor maintenance
Tenant agrees to perform minor maintenance of the premises at his/her own expenses, such as replacing burnt light bulbs and rubber washer of water faucet etc.

Elevator reservation
Tenant agrees that it is his/her sole responsibility to reserve the elevator for moving in/out and further agrees to pay for all related deposit and charges as stipulated by the condominium.

Voluntary payment
Tenant and Landlord have acknowledgement of Landlord and Tenant Act and related laws, based on tenant can not provide the employment letter, Tenant voluntarily delivers another bank draft (ten month rent) payable to the Landlord in the
amount of $000.00 Canadian Dollars which shall be applied towards the rest ten month rent on occupancy date.

Damage repair caused by pet for freehold

Tenant agrees to be responsible for any repair or replacement cost due to the presence of any pets on the premises. Tenant further agrees that if pets are kept on the premises, Tenant shall, at least termination, have the carpets professionally cleaned and make any repairs that may be necessary to restore any damages caused by pets. The Tenant shall be responsible for any damage done to the Rental Premises by the pet and shall reimburse the Landlord for the cost of any repairs resulting from the damage. The Tenant agrees to clean up after the pet so that there is no pet hair, urine or feces remaining or visible anywhere in the Rental Premises.

Provided that the condo declaration allows pets and the Tenant is fully aware of the condo rent restrictions as to size, weight, breed and type of pet allowed. The Tenant shall be responsible for any damage done to the Rental Unit of the Rental Complex by the pet and shall reimburse the Landlord for the cost of any repairs resulting from the damage. The Tenant agrees to clean up after the pet so that there is no pet hair, urine or feces remaining or visible anywhere in the Rental Complex. The Tenant shall keep the pet on a leash while the pet is in the common areas of the Rental Complex.

Damage security deposit

The Tenant agrees to pay the Landlord two thousand ($2,000.00) on occupancy date, being damage security deposit and the Landlord agrees to refund the deposit to the Tenant if the property is kept clean as the condition delivered to the Tenant.

Take photographs

Tenant agrees that the landlord has right to enter to the property to take photographs for the purpose of marketing the property for sale or lease after giving the Tenant 24 hours’ notice of such entry in writing.

Commercial lease personal guaranty

The undersigned, Lucy, hereby agrees to personally indemnify the said agreement to lease and resulting lease agreement between ABC Company and YXZ Company for 386 yonge st unit 8, Toronto for the entire term of the lease agreement and any subsequent renewals. 

Landlord's mail

Lease renewal price negotiation

Free rent period

Not withstanding the Lease Commencement Date, the Tenant shall not be obliged to pay minimum rent during the first three month of the term, provided, however that the Tenant shall be responsible to pay for all additional rent and utilities from the Lease Commencement Date.
